Terms of Service

1. Scope and Agreement

These Terms of Service (“Terms”) govern the provision of digital marketing, tracking implementation, advertising management, and CRM consulting services by:

By entering into a Service Agreement, subscribing to a package, or engaging Skyup Agency, the client (“Client”) agrees to be bound by these Terms.

2. Services Provided

Skyup Agency provides full-service growth management and specialized marketing services, including Google Ads, Meta Ads, server-side tracking (GA4, CAPI, Enhanced Conversions), GoHighLevel CRM setup, and outbound lead tracking. Specific scope, deliverables, and targets are defined in the relevant Client Package or Statement of Work.

3. Client Responsibilities & Ad Spend

The Client agrees to:

• Provide timely access to ad accounts, tag managers, domains, and CRM platforms necessary for execution.
• Directly fund all third-party advertising spend (e.g. Google Ads, Meta Ads) via their own billing method directly on the respective platforms. Agency management fees do not include third-party media costs.
• Ensure all business materials, products, and landing pages comply with applicable laws, platform advertising policies, and consumer protection directives.

4. Fees, Invoicing, and Taxes

Service fees are billed in EUR (default) or GBP as stated in the package configuration. Subscriptions are billed in advance per billing cycle (monthly, quarterly, or one-time project fee).

For business clients within the European Union outside our country of incorporation, European reverse-charge VAT rules apply upon provision of a verified VAT ID. For domestic clients, statutory VAT is charged.

5. Intellectual Property

Upon full payment of fees, the Client owns the work products created specifically for them (custom ad copy, graphics, and specific campaign structures). Skyup Agency retains ownership of proprietary agency templates, standard automation scripts, and general methodologies.

6. Limitation of Liability

Digital advertising performance depends on market dynamics, platform algorithms, product-market fit, and third-party policies. While we execute with professional care and industry best practices, Skyup Agency cannot guarantee specific revenue numbers, profit figures, or platform uptime. Liability is limited to the fees paid by the Client in the three (3) months preceding the incident, except where statutory mandatory law prevents limitation.

7. Term and Termination

Monthly retainer packages may be cancelled with 30 days written notice prior to the start of the next billing cycle via the Client Dashboard or written communication.

8. Governing Law and Jurisdiction

These Terms and any dispute arising out of them shall be governed by and construed in accordance with the laws of:
